1. Introduction & Definitions
1.1These Terms & Conditions (“Terms”) govern the relationship between NeuNest Ltd (“NeuNest”, “we”, “us”, or “our”) and any individual or entity (“Client”, “you”, or “your”) who uses our property sourcing service.
1.2 In these Terms, the following definitions apply:
- “NeuNest” means NeuNest Ltd, registered in England and Wales.
- “Client” means any individual or entity who submits specifications or engages our service.
- “Service” means the AI-powered property sourcing and deal negotiation service provided by NeuNest.
- “Specifications” means the property and investment criteria submitted by the Client.
- “Property” means any real estate asset sourced by NeuNest on behalf of a Client.
- “Finder's Fee” means the fee payable to NeuNest upon a Client proceeding with a deal.
- “Deal” means a property opportunity presented by NeuNest to the Client.
2. About Our Service
2.1 NeuNest provides a property sourcing and deal-finding service. We search for properties matching Client specifications, negotiate with sellers and agents on behalf of Clients and present vetted investment opportunities.
2.2 NeuNest is not an estate agent, financial advisor, mortgage broker, or solicitor. We do not provide investment advice, financial advice, legal advice, or tax advice.
2.3 NeuNest is not regulated by the Financial Conduct Authority (FCA). Nothing we provide constitutes regulated financial advice.
3. Eligibility
3.1 To use the NeuNest service, you must be at least 18 years of age.
3.2 The service is available to UK-based individuals and entities and to those investing in UK property from overseas.
3.3 Clients must provide accurate, truthful and complete information in their specifications. NeuNest accepts no responsibility for outcomes arising from inaccurate information provided by Clients.
4. How the Service Works
4.1 The Client submits their property and investment specifications via our online form.
4.2 NeuNest searches the UK property market and negotiates on behalf of the Client to identify matching below-market-value opportunities.
4.3 Deals are presented to the Client for their review and consideration. The Client is under no obligation to proceed with any deal presented.
4.4If the Client chooses to proceed with a deal, the Finder's Fee becomes payable in accordance with Section 5.
5. Finder's Fee
5.1A Finder's Fee is payable only when the Client chooses to proceed with a property deal sourced by NeuNest.
5.2 The fee structure varies depending on the type of service engaged:
- Investment Property Clients: A £500 commitment depositis payable before sourcing begins. This deposit confirms the Client's intent to invest, activates our full search and negotiation service and is credited in full against the Finder's Fee upon completion. The Finder's Fee itself is a percentage of the property's purchase price, calculated on a sliding scale between 0.8% and 2%. Higher-value properties attract a lower percentage. The applicable rate will be confirmed in writing before any deal is presented. The Finder's Fee (less the credited deposit) is payable in a single payment upon the Client choosing to proceed with a deal.
- Residential Home Buyer Clients: A £250 reservation deposit payable before viewings and negotiations begin, which activates our full search and negotiation service and is credited against the completion fee, plus a completion fee of 0.5% of the post-negotiated purchase price, payable only when the Client chooses to proceed with a home found by NeuNest. If we do not find a home the Client wishes to proceed with, the completion fee is not owed.
5.3The exact amount of the Finder's Fee and the payment terms will be clearly communicated to the Client and agreed in writing before any deal is finalised.
5.4No Finder's Fee (other than the commitment deposit payable by Investment Property Clients and the reservation deposit payable by Residential Home Buyer Clients) is due simply for submitting specifications or receiving deal presentations.
5.5Finder's Fees are non-refundable once a deal has completed and the fee has been paid. The investment commitment deposit and the residential reservation deposit are both non-refundable once the search and negotiation service has been activated.
6. No Obligation
6.1 Submitting your specifications to NeuNest does not constitute a legally binding agreement to purchase any property.
6.2 Clients are under no obligation to proceed with any deal presented by NeuNest. You may withdraw from the process at any time before agreeing to proceed with a specific deal.
7. No Financial or Legal Advice
7.1 NeuNest does not provide financial advice, investment advice, mortgage advice, legal advice, or tax advice of any kind.
7.2 Clients should seek independent professional advice, including from a solicitor, mortgage broker, financial adviser, and/or accountant, before making any investment decision.
7.3 Nothing contained in any deal presentation, communication, or on our website constitutes a personal recommendation or regulated advice.
8. Accuracy of Information
8.1 NeuNest endeavours to provide accurate, up-to-date property information in all deal presentations. However, property data obtained from third-party sources may not always be complete or current.
8.2 Clients are responsible for conducting their own independent due diligence, including commissioning surveys, obtaining independent valuations and carrying out all necessary legal checks before proceeding with any purchase.
9. Limitation of Liability
9.1 To the fullest extent permitted by applicable law, NeuNest shall not be liable for:
- Any investment losses, rental income shortfalls, or capital depreciation
- Any property defects, structural issues, or legal encumbrances discovered after purchase
- Inaccuracies in data obtained from third-party sources (portals, agents, public records)
- Failure to find a property matching the Client's specifications
- Any delays in the sourcing, negotiation, or completion process
9.2In any event, NeuNest's total aggregate liability to a Client shall not exceed the amount of the Finder's Fee actually paid by that Client.
10. Intellectual Property
All website content, branding, logos, text, images, software and other materials on the NeuNest website are owned by or licensed to NeuNest Ltd and are protected by applicable intellectual property laws. You may not reproduce, distribute, or use any content from our website without prior written permission.
11. Data Protection
NeuNest processes personal data in accordance with UK GDPR and our Privacy Policy, which is incorporated into these Terms by reference. Please refer to our Privacy Policy for full details.
12. Termination
12.1 Either party may terminate the arrangement at any time by providing written notice to the other party.
12.2Finder's Fees already paid in respect of completed deals are non-refundable upon termination.
13. Dispute Resolution
13.1 These Terms and any disputes arising from them are governed by and construed in accordance with the laws of England and Wales.
13.2 In the event of a dispute, both parties agree to first attempt to resolve the matter by direct negotiation in good faith.
13.3 If the dispute cannot be resolved by negotiation within 30 days, the parties agree to attempt resolution through mediation before resorting to litigation.
13.4 If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Force Majeure
NeuNest shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, government actions, pandemics, or failures of third-party service providers.
15. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms without affecting the validity and enforceability of any remaining provisions.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between NeuNest and the Client with respect to the subject matter hereof and supersede all prior agreements, representations and understandings.
17. Changes to These Terms
NeuNest reserves the right to update or amend these Terms at any time. We will notify Clients of material changes via our website. Continued use of our service following such notification constitutes acceptance of the updated Terms.
